Sasson Marcus brings over 15 years of experience to a practice focused on loan transactions.  He also counsels clients on debt restructuring and corporate finance.  Whether representing a borrower or lender, his clients appreciate his ability to drive complex transactions from term sheet to closing.  He is adept at achieving consensus, integrating business and legal strategies and obtaining strategic objectives under tight deadlines.

His broad  client and transactional experience includes:

  • Representing private equity funds and their portfolio companies as borrowers
  • Representing major banks, hedge funds and lenders as lenders and/or lead arrangers
  • Large and middle market loans
  • Asset-based and cash flow credit facilities
  • First lien, second lien and tranche B secured loans
  • Subordinated and mezzanine credit facilities
  • First out / last out (unitranche) loans
  • Credit facilities financing acquisition (e.g. LBO and MBO), refinancing and recapitalization transactions
  • Debtor in possession and exit financings
  • Intercreditor and subordination arrangements

Having served as inside and outside general counsel to technology and consumer product companies, Sasson is also experienced in negotiating and drafting operating and partnership agreements, as well as those governing joint ventures, licensing, manufacturing, distribution, supply, marketing, consulting and sales. He also provides business and legal advice to start-ups and angel investors.

Representative transactions:

  • Represented a private equity firm in a $500 million term loan, a $75 million cash flow revolver (first lien) and a $200 million term loan (second lien) to finance an acquisition
  • Represented lead arrangers of syndicated first lien/second lien credit facilities in connection with large leveraged buyout transactions
  • Represented a technology company in a $115 million term loan, a $10 million revolver (first lien) and a $35 million term loan (second lien) to refinance existing debt
  • Represented a private equity firm in a $158 million term loan, a $50 million asset-based revolver (first lien), and a $38M term loan (second lien) to finance an acquisition
  • Represented a private equity firm in a $85 million term loan, $a 30M revolver and a $25 million delayed draw term loan to finance an acquisition
