Mr. Pearlstein is a seasoned corporate attorney with experience in a broad variety of corporate and commercial transactions and financings; including private equity transactions; mergers and acquisitions; reorganizations and restructurings; securities law reporting and compliance; corporate governance; commercial transactions; and licensing of software and intellectual property.

In addition, Mr. Pearlstein represents collectors, dealers and auction houses in transactions, disputes and regulatory matters involving fine art and antiquities, including purchases and sales of fine art and antiquities, regulatory issues relating to the antiquities market; attribution, authenticity and provenance; art title insurance; and art investment funds.

Recent representative corporate transactions handled by Mr. Pearlstein include:

  • Corporate restructuring of well-known, privately held international footwear company.
  • Representation of significant Indian pharmaceutical company in a phased acquisition of controlling equity position in a publicly traded US pharmaceutical company.
  • Representation of private equity fund in acquisition by merger of a leading traffic and billing software company.
  • Post-acquisition restructuring of affiliated traffic and billing software entities.
  • Representation of private equity fund in multiple, leveraged, private acquisitions of publishing assets.
  • Representation of private equity fund in leveraged, private acquisition of stove company assets.
  • Representation of electronic funds processor in serial license and service agreements.

Recent transactions related to fine art and antiquities handled by Mr. Pearlstein include:

  • Acting as special counsel to Sotheby's in connection with the application of The People's Republic of China for US import restrictions on Chinese cultural objects.
  • Acting as special counsel to ARIS Corporation in connection with formulation of art title insurance policy.
  • Filing of Amicus Curiae brief to the US Court of Appeals for the 2nd Circuit in US v. Schultz.
